This copyright policy has no fixed execution or commencement date. The Agreement becomes legally binding and effective immediately upon the earliest occurrence of any of the following actions by a user or authorized representative acting on behalf of an organization:
Signing in to, accessing, or using any part of the IndexPro platform, including but not limited to indexpro.online, its subdomains, or related applications;
Interacting with any feature, module, dashboard, report, or functionality within the IndexPro system;
Applying a digital, electronic, or physical signature within the IndexPro platform, including but not limited to any Purchase Order (PO) page, approval page, acknowledgment page, or confirmation workflow;
Uploading, downloading, viewing, approving, modifying, or relying on any data, documents, reports, methodologies, or outputs generated by the IndexPro system.
By performing any of the above actions, the user expressly acknowledges, accepts, and agrees that:
This Agreement is binding without the need for a dated signature;
Acceptance is deemed to occur at the moment of first access or interaction;
The Agreement applies retroactively and prospectively to all use of the IndexPro platform and procurement system;
The user confirms they are acting on behalf of, and with full authority to bind, the organization associated with their email domain, account, or project authorization.
Continued access to or use of the IndexPro platform constitutes ongoing acceptance of this Agreement and any updates made in accordance with its amendment provisions.
This Copyright Policy governs all intellectual property rights related to the IndexPro digital platform hosted at https://indexpro.online, https://design.indexpro.online, and any other websites, applications, portals, or subdomains operating under or derived from the domain indexpro.online, whether existing now or created in the future, operated by IndexPro Ltd (UK) and Index Furniture Trading LLC (UAE).
1.1 All content, materials, systems, and outputs available on or generated through indexpro.online are the exclusive property of IndexPro, including but not limited to:
Platform architecture and system design
Procurement methodologies and business logic
Indexing structures, naming conventions, and coding systems
Reports, dashboards, trackers, tables, and visual representations
Calculations, formulas, algorithms, and data relationships
User interface layouts, navigation flows, and presentation logic
Written content, text, labels, descriptions, and explanatory materials
Documentation, specifications, templates, and structured data outputs
1.2 Copyright protection applies regardless of whether content is marked as confidential or proprietary.
1.3 No rights, title, license, or interest is transferred to any Client Organization or user.
2.1 Copyright protection extends to:
Original works
Compilations and arrangements of data
Structural organization of information
Look-and-feel, sequencing, and system logic
2.2 Protection applies to:
Digital content
Screens, views, and dashboards
Exported reports (PDF, Excel, images, screenshots)
System-generated files or data extracts
2.3 The absence of technical restrictions does not imply permission.
The Client Organization, its users, affiliates, contractors, or representatives must not, directly or indirectly:
Copy, duplicate, screenshot, screen-record, photograph, or scan any part of the platform
Download, export, store, or archive reports or system outputs beyond approved project use
Reproduce platform logic, structures, or workflows in spreadsheets, software, or documents
Reverse-engineer, decompile, disassemble, or analyze system behavior to recreate functionality
Train staff, consultants, or third parties using IndexPro methodologies
Apply IndexPro logic, workflows, or structures to other projects, clients, or organizations
Commission or permit third parties to replicate or derive value from IndexPro content
Use IndexPro content as benchmarks, templates, or reference systems
Derivative use, whether intentional or incidental, is strictly prohibited.
4.1 The Client Organization is fully responsible for:
All actions taken by its authorized users
Any misuse or infringement committed by its employees, consultants, or agents
4.2 Claims of internal misunderstanding, training, or lack of awareness do not absolve liability.
5.1 Access to indexpro.online grants no implied license to:
Copy
Modify
Distribute
Adapt
Reuse
5.2 Any permitted use must be:
Explicit
Written
Project-specific
Time-bound
6.1 IndexPro reserves the right to:
Monitor platform usage
Track access behavior
Investigate suspected infringement
6.2 Upon detection of infringement, IndexPro may:
Suspend or terminate access immediately
Demand cessation of use
Require written confirmation of destruction of copied materials
7.1 In the event of infringement, IndexPro reserves the right to pursue:
Injunctive relief
Monetary damages
Account of profits
Legal costs and expenses
7.2 Remedies are cumulative and do not limit other contractual or statutory rights.
This Copyright Policy survives:
Termination of access
Project completion
Expiration of agreements
Any suspension of services
9.1 This policy is governed by:
English Copyright Law (IndexPro Ltd)
UAE Federal Copyright Law, with exclusive jurisdiction of the Dubai Courts (Index Furniture Trading LLC)
9.2 IndexPro may elect the jurisdiction best suited to enforce its rights.
All policies applicable to indexpro.online, including this Copyright Policy, are officially published and maintained on indexprocure.com.
Continued access to the platform constitutes full acknowledgment and acceptance of this policy by the Client Organization.
